Joseph Parisi represents international manufacturers, importers and distributors/providers of goods and services throughout the U.S. on their commercial operations. His experience includes drafting, reviewing and negotiating sales and distribution contracts and agreements, as well as major corporate mergers, acquisitions, restructurings and intellectual property matters. Joe makes a point of understanding the objectives of his clients in order to efficiently execute transactions that incorporate their strategic vision, business practices and profitability goals, and achieve the results they require to succeed.
Joe advises clients regarding appointments and terminations of sales representatives and distributors, and assists such clients in complying with applicable state, federal and local laws and regulations. He counsels clients on the Uniform Commercial Code (UCC), including secured transactions in the sale and purchase of goods. In addition, Joe is involved in dispute resolution, including drafting and negotiating complex settlement agreements.
Joe’s corporate experience includes the purchase and sale of corporate assets, mergers, acquisitions and business reorganizations. He has advised clients on the formation of business entities, including limited liability companies and joint ventures. Moreover, Joe serves as “general counsel” to various machinery, printing press, machine tool companies and food companies by counseling them on day-to-day issues including employment, corporate governance, litigation and other substantive legal disciplines. In addition, Joe represents clients in trademark matters, including prosecuting and resolving disputes and licensing arrangements.
